Terms of Service

These Terms govern access to and use of smileQute ("the Service"), provided by TechMaven IT Solutions Pvt Ltd ("we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The Service
smileQute is cloud-based dental practice management software. It includes scheduling, patient records, dental charting, billing, messaging, and related capabilities, delivered as a subscription.
2. Accounts and access
To use the Service, your clinic must create an account. Each user accessing the account ("Authorized User") must do so through their own credentials. You are responsible for activity on your account and for keeping credentials secret.
3. Subscription and payment
- Subscriptions are billed in advance — annually by default, monthly with a surcharge.
- Pricing is per active chair as configured in your clinic settings.
- Plans, prices, and features may change with 30 days' notice for new terms; existing committed terms hold.
- Failed payments after 14 days trigger account suspension; data is preserved per the retention schedule.
4. Your data
You retain all rights to data you upload or generate in the Service ("Customer Data"). We process Customer Data as your data processor under the Privacy Policy. We do not sell Customer Data; we do not use it to train AI or third-party models.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Send unauthorized marketing through the messaging module.
- Attempt to access another tenant's data, reverse-engineer the Service, or interfere with security controls.
- Exceed reasonable rate limits, including SMS / WhatsApp dispatch quotas, or attempt to bypass them.
6. Availability and SLA
We target 99.9% monthly uptime on Solo and Group plans, and 99.95% on Chain plans. Scheduled maintenance is announced at least 48 hours in advance. Service credits for sustained breaches are available on written request.
7. Disclaimers
The Service is provided "as is" without warranties beyond those explicitly granted in these Terms. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Clinical decisions are the responsibility of the practitioner. smileQute is software for record-keeping, scheduling, and billing; it is not a medical device and does not provide clinical advice.
8. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability under these Terms will not exceed the fees paid or payable in the twelve months preceding the claim.
9. Termination
- Either party may terminate for material breach with 30 days' written notice if the breach is not cured.
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle.
- Upon termination, you can export your Customer Data for 60 days. After 60 days, we may delete your data per the retention schedule.
10. Governing law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Ernakulam, Kerala, India, except as required by mandatory consumer-protection law in your region.
11. Changes
We may update these Terms. Material changes will be announced by email to the account billing contact at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
